Terms of Service

1. Acceptance of Terms

By accessing or using Source-DAM ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service.

These terms constitute a legally binding agreement between your organization and Source-DAM. The Service is offered only to business customers and professional users acting for business purposes.

By creating an account, you represent that you are authorized to bind your organization to these Terms.

2. Description of Service

Source-DAM is a digital asset management platform designed for ecommerce and product teams. The Service allows you to upload, organize, manage, and distribute digital assets such as images, videos, and documents.

3. Account Registration

• You must provide accurate and complete registration information.
• You must register and use the Service for business purposes only.
• You are responsible for maintaining the security of your account credentials.
• You must notify us immediately of any unauthorized access to your account.
• You may not share your account with others or transfer it without our consent.

4. Acceptable Use

You agree not to:

• Upload content that infringes intellectual property rights
• Upload malicious software or content
• Use the Service for illegal purposes
• Attempt to gain unauthorized access to our systems
• Interfere with the proper functioning of the Service
• Resell or redistribute the Service without authorization

5. Your Content

You retain full ownership of all content you upload to Source-DAM. By using the Service, you grant us a limited license to store, process, and display your content solely for the purpose of providing the Service.

You are responsible for ensuring you have the rights to upload and use all content on our platform.

6. Subscription and Payment

• Subscription fees are billed in advance on a monthly or annual basis and renew automatically until canceled.
• You can cancel renewal at any time. Cancellation takes effect at the end of the current paid period unless stated otherwise in your plan.
• All fees are non-refundable except where required by applicable law.
• Because Source-DAM is a B2B service, consumer withdrawal rights do not apply.
• Prices are shown exclusive of VAT and similar taxes unless explicitly stated otherwise.
• We may change pricing with at least 30 days notice to existing customers.
• Failure to pay may result in suspension or termination of your account.

7. Service Level and Support

We use commercially reasonable technical and organizational measures to protect the Service and Customer Data. However, no system is completely secure or always available. We do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance when possible.

8. Intellectual Property

The Service, including its design, features, and code, is owned by Source-DAM and protected by intellectual property laws. You may not copy, modify, or reverse engineer any part of the Service.

9. Limitation of Liability

To the maximum extent permitted by law, Source-DAM shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.

Our total liability shall not exceed the amount paid by you for the Service in the 12 months preceding the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law.

10. Indemnification

You agree to indemnify and hold harmless Source-DAM from any claims, damages, or expenses arising from your use of the Service or violation of these terms.

11. Termination

Either party may terminate the subscription at any time. Upon termination:

• You will have 30 days to export your content.
• We will delete your content within 60 days of termination.
• Termination does not relieve you of payment obligations for services already rendered.

12. Governing Law

These Terms are governed by the laws of Italy and applicable European Union law. Any dispute shall be submitted to the competent courts of the place where Source-DAM is established, unless mandatory law provides otherwise.

13. Changes to Terms

We may update these Terms of Service from time to time. We will notify you of material changes via email or through the Service. Continued use after changes take effect constitutes acceptance of the new terms.
